Your responsibilities, our responsibilities, and the boundaries of the service—for the web app, desktop and mobile apps, and agents you connect.

The agreement

These terms of service are an agreement between Quintessence Group, Inc. (“Scoped”, “we”, or “us”) and you. They cover Scoped Cloud at app.scoped.ai, the desktop and mobile apps we make available, this website, and our support (together, the “service”).

You accept these terms when you create a Scoped Cloud account. Every page that creates an account says so and links these terms and the privacy policy. Using the service in any other way also means you accept them. If you do not agree, do not create an account or use the service.

If you accept for an organization, you confirm that you have authority to bind it, and “you” means that organization.

Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract to create an account or accept these terms. Scoped is a business tool and is not intended for children.
  • Provide accurate account information and keep your email address current. Scoped Cloud requires email verification before normal sign-in.
  • Protect your credentials and use a separate account for each person. If you sign in with Google, Microsoft, or Slack, keep that account secure as well. Tell us promptly if you suspect unauthorized access. You are responsible for activity you authorize, including agent connections and API keys. This does not excuse a failure of our own legal obligations.
  • Workspace owners and administrators manage membership and roles. Invite only people who should have access, and review access when someone leaves your team.
  • If an organization provides your workspace, its administrators may manage your membership and workspace content. Your access may end when your relationship with that organization ends.

Acceptable use

You may use Scoped for lawful business purposes in accordance with these terms. Do not:

  • access accounts, workspaces, or systems without authorization, or bypass authentication, permissions, or service limits;
  • introduce malware, disrupt the service, or conduct intrusive security testing without permission;
  • store or share unlawful content, infringe others’ rights, or misuse personal information;
  • use the service for fraud, threats, harassment, or spam; or
  • sell access to our hosted service, copy our proprietary software for redistribution, or misrepresent affiliation with Scoped without authorization.

Report suspected vulnerabilities privately to support@scoped.ai without accessing other users’ information. Nothing in these terms restricts rights that applicable law or a separate open-source license does not allow us to restrict.

Your content and privacy

Your content remains yours. You and your licensors retain ownership of the content you provide. You give Scoped a limited, non-exclusive right to host, copy, process, transmit, and display it as needed to provide, secure, maintain, and support the service and carry out authorized instructions. We do not sell your content, use it for advertising, or use it to train machine-learning models.

You must have the rights and permissions needed to provide your content and make it available to workspace members and connected services. That includes information about other people, such as the clients and contacts you record: you are responsible for having a lawful basis to store it and for any notice those people are owed. Do not place passwords, private keys, or information requiring a specially regulated hosting arrangement in Scoped unless we have expressly agreed to support that use.

The privacy policy explains personal-information handling, retention, and deletion. It is a notice, not blanket consent to processing. Any separately agreed data-processing terms govern where applicable.

Owners and administrators can export supported workspace records. Exports describe their omissions and do not include linked file contents, authentication secrets, session records, agent grants, or pending invitation and reset tokens. Keep independent copies of critical work. Archiving is not deletion, and deleting an account does not erase shared work or every historical identity record.

Scoped and its licensors retain rights in the software, design, and trademarks, apart from your content. No ownership in them is transferred to you.

Agents and third parties

Connecting an agent, an API key, or another client authorizes it to act within the permissions you grant and your own workspace access. Review those permissions and the provider’s terms before connecting. You are responsible for deciding whether an action or disclosure is appropriate for your organization.

Third-party services, including sign-in providers, payment providers, and services you connect, are governed by their own agreements. We do not control their availability, security, or handling of information they receive. Revocation stops future access through that grant; it does not undo completed actions or retrieve data already received. Check agent output and important changes before relying on them. Summaries and re-entry briefs are aids to your judgment, not guarantees that every fact or next step is correct.

Links and integrations do not transfer responsibility for our own acts or obligations to a third party.

Desktop and mobile apps

Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to install and use the desktop and mobile apps we release on supported devices you own or are authorized to manage. The download page identifies available platforms and requirements; mentioning a platform does not promise that an installer is available for it. An app you obtain from an app store is also subject to that store’s terms.

Do not remove proprietary notices or redistribute or modify proprietary components except with permission or as applicable law permits. Separate licenses for open-source components remain in effect and control those components if they conflict with these terms, including any rights to inspect or modify their source.

Scoped Connect stores data on your computer or in an external database you choose. Available storage options depend on the released build. You are responsible for protecting your device and keeping additional backup copies. For an external database, you or your provider manage its credentials, hosting charges, access controls, compatibility, and backups. Keep the app and its dependencies current. Updates may require manual installation, and older versions may become unsupported. Uninstalling the app does not delete your database or other stored configuration and exports.

Availability and changes

The service may be interrupted for maintenance, incidents, or provider outages. Unless we separately agree in writing, these terms do not provide an uptime service-level agreement. We may improve, change, or discontinue features; where a change materially reduces a service you use, we will provide notice and a reasonable opportunity to export where practicable and as required by law. Urgent security or legal changes may take effect sooner.

Experimental or preview features may change or be withdrawn. Do not use Scoped as the sole system for safety-critical decisions or information you cannot afford to lose.

Plans, fees and payment

Scoped Cloud has a Free plan and paid plans, priced per workspace. Current prices, limits, and billing intervals are on the pricing page and are shown again before you buy. A signed order or enterprise agreement controls its own pricing.

  • Who you buy from. Paid plans are sold through Link, the merchant-of-record service operated by Stripe. Link processes your payment, calculates and collects applicable sales tax, VAT, or GST, and sends receipts and invoices. The payment terms shown at checkout also apply to your purchase. Charges appear on your statement as “LINK.COM*” followed by our name.
  • Trial. An account’s first Cloud workspace starts with a 30-day Pro trial that needs no payment method. When the trial ends, the workspace continues on the Free plan. We never charge you unless you choose a paid plan.
  • Renewal. A paid subscription renews automatically at the end of each monthly or annual period until you cancel it. By subscribing, you authorize a charge to your payment method for each renewal.
  • Cancellation. Cancel in Workspace billing or through Link. Paid access continues until the end of the period you have already paid for. The workspace then moves to the Free plan without deleting its work.
  • Failed payments. If a renewal payment fails, you have 7 days to update your payment method. After that the workspace moves to the Free plan. Nothing is deleted.
  • Price changes. We may change prices for future billing periods with advance notice. Any price lock we have promised, shown on the pricing page, still applies. Plan and billing-interval changes show their price before you confirm.
  • Refunds. Except where required by law, stated at checkout, or provided by Link, fees are non-refundable.

Nothing here removes a cancellation or refund right that cannot legally be excluded.

Leaving or suspension

You can stop using Scoped at any time. Cloud account deletion requires you to resolve sole ownership, either by transferring it or by using the workspace deletion flow, which can delete your last workspace and account together. Workspace deletion requires the sole owner’s confirmation. Export the records you need first. The privacy policy describes what deletion removes, the historical identity information that remains, and the limits of backups.

We may restrict or suspend access when reasonably necessary to address a material breach, a security risk, unlawful use, or a legal requirement. Where practicable and lawful, we will explain the reason and provide an opportunity to resolve the problem. Immediate action may be necessary to protect people or the service.

We may end the service or an account for an unresolved material breach, a legal requirement, or discontinuation of the service, with notice and an opportunity to export where practicable and legally permitted. These terms do not guarantee access after termination. Rights and obligations intended to survive, including ownership, accrued payment obligations, liability limits, and dispute provisions, continue to apply to the extent permitted by law.

Disclaimers

To the extent permitted by law, Scoped is provided as is and as available, without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted or error-free operation, perfect security, or the accuracy of every summary or agent action. This does not exclude an express commitment in a separate agreement or any warranty or consumer right that the law does not allow us to exclude.

Limits of liability

To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages arising from this agreement, including resulting loss of profits, revenue, goodwill, or data.

Scoped’s total liability arising from or relating to the service is limited to the greater of US$100 and the amounts you paid for the service in the 12 months before the event giving rise to the claim. This is an aggregate cap, not a separate cap for each claim.

Nothing in these terms excludes or limits liability for fraud, willful misconduct, or any other liability that cannot lawfully be excluded or limited. Mandatory consumer protections prevail.

Disputes and governing law

Please contact us first so we can try to resolve a concern informally. These terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws rules. Disputes arising from these terms or the service will be resolved exclusively in the state and federal courts located in Colorado, and both parties consent to personal jurisdiction there. Either party may still seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Nothing here deprives you of mandatory protections or a right to bring a claim in a court available under applicable consumer law. These terms do not require binding arbitration or waive class actions.

Updates and other terms

The effective date at the top of this page identifies the current version. For material changes, we will give notice explaining what changed and when it takes effect, in advance where reasonably practicable and as required by law, and we will ask for renewed acceptance where the law requires it. Continuing to use the service after an update takes effect means you accept it. If you do not accept an update, stop using the service and cancel any subscription, subject to any separate plan or order terms. Changes do not apply retroactively to existing disputes.

These terms and any applicable separate order, software license, or signed agreement form the agreement about the service. A signed agreement controls a conflict on its subject. If a provision is unenforceable, the remaining provisions continue to apply. Not enforcing a provision immediately does not waive the right to enforce it later.
